(Text with EEA relevance)

2010/C 355/13

1.

On 17 December 2010, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Veolia Eau — Compagnie Génerale des Eaux SCA (‘Veolia Eau’, France), belonging to the group Veolia Environnement, and Electricité de France International SA (‘EDFI’, France), belonging to the group Electricité de France (‘EDF’), acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint-control of Société d'Energie et d'Eau du Gabon (‘SEEG’, Gabon), by way of a purchase of shares of SEEG's holding company, Veolia Water India Africa SA (‘VWIA’, France) currently solely controlled by Veolia Eau.

2.

The business activities of the undertakings concerned are:

for Veolia Eau: the operation of water and wastewater services on behalf of public authorities and companies, as well as the design of technical solutions and building of the facilities needed to provide those services,

for EDFI: a holding company, subsidiary of EDF, which is active in the production and wholesale electricity, transport, distribution and sale retail electricity and in provision of other services related to electricity, both in France and other countries,

for SEEG: the production, transport and distribution of drinking water and electricity in Gabon, pursuant to a public service delegation,

for VWIA: a holding company.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the EC Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the EC Merger Regulation (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. Observations can be sent to the Commission by fax (+32 22964301), by email to COMP-MERGER-REGISTRY@ec.europa.eu or by post, under reference number COMP/M.6105 — Veolia/EDF/Société d'Energie et d'Eau du Gabon, to the following address:
