Non-opposition to a notified concentration

(Case COMP/M.6990 — Vodafone/Kabel Deutschland)

On 20 September 2013, the Commission decided not to oppose the above notified concentration and to declare it compatible with the common market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004. The full text of the decision is available only in English and will be made public after it is cleared of any business secrets it may contain. It will be available:

in the merger section of the Competition website of the Commission (http://ec.europa.eu/competition/mergers/cases/). This website provides various facilities to help locate individual merger decisions, including company, case number, date and sectoral indexes,

in electronic form on the EUR-Lex website (http://eur-lex.europa.eu/en/index.htm) under document number 32013M6990. EUR-Lex is the online access to the European law.

Notice for the attention of the persons to whom measures provided for in Council Decision 2010/638/CFSP, as amended by Council Decision 2013/515/CFSP, and in Council Regulation (EU) No 1284/2009 concerning restrictive measures against the Republic of Guinea apply

THE COUNCIL OF THE EUROPEAN UNION,

The following information is brought to the attention of the persons that appear in the Annex to Council Decision 2010/638/CFSP, as amended by Council Decision 2013/515/CFSP (1), and in Annex II to Council Regulation (EU) No 1284/2009.

The Council of the European Union has determined that the persons that appear in the above-mentioned Annexes continue to fulfil the criterion set out in Decision 2010/638/CFSP and in Regulation (EU) No 1284/2009 concerning restrictive measures against the Republic of Guinea and should therefore remain subject to the measures as renewed by Decision 2013/515/CFSP.

The attention of the persons concerned is drawn to the possibility of making an application to the competent authorities of the relevant Member State(s) as indicated in the web-sites in Annex III to Regulation (EU) No 1284/2009, in order to obtain an authorisation to use frozen funds for basic needs or specific payments (cf. Article 8 of the Regulation).

The persons concerned may submit a request to the Council, together with supporting documentation, that the decision to include them on the above-mentioned list should be reconsidered, to the following address:

Prior notification of a concentration

(Case COMP/M.6984 — EPH/Stredoslovenska energetika)

1.

On 16 October 2013, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Energetický a Průmyslový Holding a.s. (‘EPH’, Czech Republic) acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control over Stredoslovenská energetika, a.s. (‘SSE’, Slovak Republic) by way of a purchase of shares.

2.

The business activities of the undertakings concerned are:

for EPH: active in the Czech Republic mainly in the generation and supply of electricity and the provision of district heating and to a marginal extent in the gas sector; active in the Slovak Republic mainly as gas storage, transmission and distribution system operator and as supplier on the retail market for gas and to a minor extent in the electricity sector,

for SSE: mainly active in the Slovak Republic in the distribution and retail supply of electricity with some further minor activities in the gas and electricity sectors in the Slovak Republic and in the Czech Republic respectively.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. Candidate case for simplified procedure

1.

On 16 October 2013, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings CNP Assurances (‘CNP’, France) and Immochan (France) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertaking Galerie Commerciale de Kirchberg (‘GCK’, Luxembourg), controlled by Immochan, by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

CNP is an undertaking involved mainly in the personal insurance market in France,

Immochan is an undertaking specialising in commercial property; the principal activity of its owner, Groupe Auchan, is food retailing,

GSK is a subsidiary of Immochan which owns a shopping centre in Kirchberg, Luxembourg.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the EC Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the EC Merger Regulation (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
