Non-opposition to a notified concentration

On 18 September 2008, the Commission decided not to oppose the above notified concentration and to declare it compatible with the common market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004. Extract from the decision concerning Landsbanki Islands HF under Directive 2001/24/EC of the European Parliament and of the Council on the reorganisation and winding-up of credit institutions

By decision of Amsterdam District Court dated 13 October 2008, No HA RK 08-668, at the request of De Nederlandsche Bank, Amsterdam, the interim procedure referred to in Article 3:202 of the Law on Financial Supervision is hereby declared applicable to the Dutch office of the foreign-law company

Landsbanki Islands HF, also trading under the name: ‘Icesave’

registered and having offices at Gustav Mahlerplein 78, Ito tr. 11e V, Amsterdam. The legal basis for the interim procedure is Section 3.5.5 of the Law on Financial Supervision. Unless otherwise stipulated the interim procedure is subject to Dutch law. K.D. van Ringen, member of the Amsterdam District Court, has been appointed delegated judge. M. Pannevis and H. Sliedrecht RA, both having offices at DLA Piper Nederland NV, Postbus 75258, 1070 AG Amsterdam, have been appointed receivers. De Nederlandsche Bank is the authorised supervisor. An appeal against this decision may be submitted within 8 days to Amsterdam Court of Appeal, Prinsengracht 436, 1017 KE Amsterdam. To the best of the receivers' knowledge no appeal has been submitted.

Prior notification of a concentration

Candidate case for simplified procedure

1.

On 7 November 2008, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking GKN plc (‘GKN’, United Kingdom), through its wholly owned subsidiary GKN Aerospace Services Limited acquires within the meaning of Article 3(1)(b) of the Council Regulation control of parts of the Airbus Filton operations (‘the Acquired Business’, United Kingdom) presently owned by Airbus UK Limited and Airbus SAS, by way of purchase of assets.

2.

The business activities of the undertakings concerned are:

for GKN: engineering, manufacture and supply of components for the automotive, off-highway and aerospace industries,

for the Acquired Business: in-house aerostructure manufacturing and assembly operations (parts manufacture and wing sub-assembly for current Airbus aircraft programmes).

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. On 10 November 2008, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking The Dow Chemical Company (‘Dow’, USA) acquires within the meaning of Article 3(1)(b) of the Council Regulation control of the whole of the undertaking Rohm and Haas Company (‘R&H’, USA) by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

for Dow: plastics and chemicals, agricultural sciences and hydrocarbon and energy products and services,

for R&H: production of performance polymers, specialty chemicals, electronic materials and salt.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

4.
