(Case M.7801 — Wabtec/Faiveley Transport)

(Text with EEA relevance)

(2016/C 128/07)

1.

On 4 April 2016, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Westinghouse Air Brake Technologies Corporation (‘Wabtec’, United States) acquires within the meaning of Article 3(1)(b) of the Merger Regulation indirect sole control of the whole of the undertaking Faiveley Transport S.A. (‘Faiveley’, France) by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

—   for Wabtec: manufacture and sale of railway equipment such as brakes, air compressors, friction brake products, positive train control, pantographs, heat exchangers, rail door and window assemblies and commuter locomotives as well as the provision of services in the railway sector,

—   for Faiveley: manufacture and sale of braking systems, pantographs and related products, couplers, draw gears, air generation and treatment units, energy meter, power collectors and converters, platform and access doors, automatic platform gates, movable steps and ramps and interior doors, and the provision of services related to the above products and systems.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication.
