1.
On 27 November 2020, the Commission received notification of a proposed concentration pursuant to Article 4 and following a referral pursuant to Article 4(5) of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Kingspan Holding Netherlands B.V. (the Netherlands), controlled by Kingspan Group plc, |
|
— |
TeraSteel SA(Romania), controlled by TeraPlast SA, |
|
— |
TeraSteel d.o.o. Leskovac (Serbia), controlled by TeraPlast SA, |
|
— |
TeraSteel Slovakia s.r.o. (Slovakia), controlled by TeraPlast SA, |
|
— |
Wetterbest SA (Romania), controlled by TeraPlast SA. |
Kingspan Holding Netherlands B.V. acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of TeraSteel SA, TeraSteel d.o.o. Leskovac, TeraSteel Slovakia s.r.o. (jointly ‘TeraSteel’) and Wetterbest SA.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:|

for Kingspan Holding Netherlands B.V.: mainly active in the manufacture of sandwich panels, insulation, light & air solutions, water & energy and data & flooring technology. Kingspan Group has manufacturing and distribution operations throughout Europe, the Far East and the Americas, and is currently operating in over 70 countries, |

— |
for TeraSteel: mainly active in the production and supply of (i) foam sandwich panels, (ii) mineral fibre sandwich panels, (iii) single skin construction sheets, (iv) purlins and (v) turnkey halls. TeraSteel has two production facilities in Romania and one production facility in Serbia, |

— |
for Wetterbest SA: mainly active in the manufacture and supply of (i) single skin construction sheets and (ii) drainage systems/gutters. Wetterbest has two production facilities in Romania. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.
4.
The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
