On 14.11.2005, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which the undertakings Technip S.A. (“Technip”, France) and Subsea 7 Pty Ltd (“Subsea 7”, Singapore) acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of a newly created company (“JV”) that constitutes a joint venture by way of purchase of shares. 2. The business activities of the undertakings concerned are : - for Technip: provision of services for engineering, procurement, construction, installation and maintenance of facilities for subsea production and transportation of oil and gas. - for Subsea 7: provision of services for engineering, procurement, construction, installation and maintenance of facilities for subsea production and transportation of oil and gas. - for the JV: provision of services for engineering, procurement, construction, installation and maintenance of facilities for subsea production and transportation of oil and gas in the Asia Pacific region (but not for India and the Middle East), including the distribution of flexible pipe. The JV will not have activities – or hold assets - in the EEA. 3. After examination of the notification, the Commission has concluded that the notified operation falls within the scope of Council Regulation (EC) No. 139/2004 and of paragraph 5, both subparagraph 5(a) and 5(c), of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 [2] . 4. For the reasons set out in the Notice on a simplified procedure, the Commission has decided not to oppose the notified operation and to declare it compatible with the common market and with the EEA Agreement.
