Prior notification of a concentration

(Case COMP/M.6362 — CIN/Tirrenia Business Branch)

1.

On 21 November 2011, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Compagnia Italiana di Navigazione S.r.l. (Italy), a newly incorporated company which has been created by Marinvest S.r.l. (‘Marinvest’, Italy), Grimaldi Compagnia di Navigazione SpA (‘Grimaldi’, Italy) and Onorato Partecipazioni S.r.l. (‘Onorato’, Italy), acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of part of the undertaking Tirrenia di Navigazione, currently in receivership (‘Tirrenia’, Italy), who manages the sea routes covered by a public service obligation with the Italian State.

The business activities of the undertakings concerned are:

for Marinvest: holding company of a group of undertakings active in the sea transport of passengers and freight. It controls MSC Crociere SpA (Italy) and SNAV SpA (Italy) and, together with Investitori Associati SGR SpA (Italy), it jointly controls Grandi Navi Veloci SpA (Italy),

for Grimaldi: shipping company active on Atlantic routes (between Northern Europe, Eastern Africa and South America, between South America and Western Africa, as well as between North America and Western Africa),

for Onorato: holding company whose main activity is the acquisition of share interests in undertakings with the purpose of a stable investment. Onorato exercises joint control, together with Clessidra SGR SpA (Italy), the managing company of the Fund Clessidra Capital Partners (Italy), over Moby SpA (Italy), a company active mainly in Italy in the sea transport of passengers and freight,

Tirrenia: company active in the sea transport of passengers and freight, who historically manages sea routes covered by a public service obligation. Tirrenia is currently owned by the Italian State through Fintecna SpA (Italy).

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
