Prior notification of a concentration

(Case COMP/M.5881 — ProSiebenSat.1 Media/RTL interactive/JV)

On 6 August 2010, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings RTL interactive GmbH (‘RTL interactive’, Germany) controlled by RTL Group S.A. (‘RTL’, Luxembourg) itself belonging to the Bertelsmann group (‘Bertelsmann’, Germany), and ProSiebenSat.1 Media AG (‘P7S1’, Germany) jointly controlled by Kohlberg, Kravis and Roberts & Co. (‘KKR’, United States of America) and Permira (‘Permira’, United Kingdom) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of a newly created company by way of purchase of shares in a newly created company constituting a joint venture.

The business activities of the undertakings concerned are:

for Bertelsmann: international media group active in television, radio, publishing and other media and communication services.

for RTL: television and broadcasting activities, primarily free-to-air private television.

for RTL interactive: development of new multimedia products,

for P7S1: international media company headquartered in Germany and primarily active in television,

for the newly created company: provision of an online video-on-demand platform.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication.
