Prior notification of a concentration

(Case COMP/M.5943 — Abu Dhabi Mar/ThyssenKrupp Marine Systems)

1.

On 28 July 2010, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Abu Dhabi Mar LLC (‘Abu Dhabi Mar’, United Arab Emirates) acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the civil ship business of ThyssenKrupp Marine Systems AG (‘ThyssenKrupp Marine Systems’, Germany) and by which Abu Dhabi Mar and ThyssenKrupp Marine Systems create a full-function joint venture for the naval ship business (excluding submarines).

The business activities of the undertakings concerned are:

—

for Abu Dhabi Mar: building, repair and reconstruction of in particular civil ships,

—

for ThyssenKrupp: development, production and sale of steel materials, elevators, plant technology and components for the car, construction and engineering industry,

—

for ThyssenKrupp Marine Systems: civil and naval shipbuilding activities including the conception, design, engineering, construction, repair and reconstruction of civil and naval ships.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
