Prior notification of a concentration

(Case COMP/M.5596 — Magna/Sberbank/GM/Opel)

1.

On 22 October 2009, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Magna International Inc. (‘Magna’, Canada), Sberbank Savings Bank of Russia (‘Sberbank’, Russian Federation) and General Motors Company (‘GM’, USA) acquire within the meaning of Article 3(1)(b) of the Regulation joint control of the undertaking Adam Opel GmbH (‘NewOpel’, Germany) by way of purchase of shares.

The business activities of the undertakings concerned are:

Magna is a diversified automotive supplier. It designs, develops and manufactures automotive systems, assemblies, modules and components, and engineers and assembles complete vehicles. Its products and services are sold primarily to manufacturers of cars and light commercial vehicles,

Sberbank, is one of the largest credit institutions in Russia and Eastern Europe. Its principal business activity is corporate and retail banking operations within the Russian Federation,

The principal business of GM is the manufacturer of automotive vehicles. Through its subsidiary Delphi it is also a supplier of automotive components,

NewOpel is a manufacturer of automotive vehicles.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
