Prior notification of a concentration

(Case M.8314 — Broadcom/Brocade)

1.

On 17 March 2017, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Broadcom Limited (‘Broadcom’, Singapore) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertaking Brocade Communications Systems, Inc. (‘Brocade’, United States) by way of a purchase of shares.

The business activities of the undertakings concerned are:

—   for Broadcom: design, development and supply of a range of semiconductor devices for use in wireline and wireless communications, enterprise storage, and industrial applications,

—   for Brocade: supply of networking hardware, software, and services for use in communications and data centre infrastructures and applications, including Fibre Channel Storage Area Networking switch products, and internet Protocol Networking products.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
