On 19 May 2021, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004 (1). EXTRACT FROM THE DECISION ON OPENING WINDING-UP PROCEEDINGS PURSUANT TO DIRECTIVE 2001/24/EC OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL OF 4 APRIL 2001 ON THE REORGANISATION AND WINDING UP OF CREDIT INSTITUTIONS

Invitation to lodge a claim. Time limits to be observed.

Lukáš Vlašaný, born 28 October 1974, residing at Palackého 351/6, 390 01 Tábor, as liquidator of the savings and credit union Československé úvěrní družstvo v likvidaci, company ID No: 649 46 851, having its registered offices at Gočárova třída 312/52, Pražské Předměstí, 500 02 Hradec Králové, entered in the business register held by the Hradec Králové regional court under reference Dr 1358 (‘the Cooperative’), appointed by decision of the Hradec Králové regional court No 34 Cm 65/2021-15 of 6 April 2021, hereby announces, in accordance with Article 13 and Article 17 of Directive 2001/24/EC of the European Parliament and of the Council on the reorganisation and winding-up of credit institutions, that the Cooperative went into liquidation on 25 March 2021, when, on the basis of a decision taken by the assembly of delegates of the Cooperation on 25 March 2021, it was decided, within the meaning of Article IX(A)(18)(k) in conjunction with Article IX(B)(1) of the articles of association and in accordance with Section 656(q) and Section 669 of Act No 90/2012 on business corporations, as amended, to wind-up the Cooperative with immediate effect.

Creditors of the Cooperative are invited to lodge their claims by the deadline of 30 July 2021. Claims should be lodged by the said deadline, in writing, with the liquidator of the Cooperative, Lukáš Vlašaný, at Vančurova 2904, 390 01 Tábor, Czech Republic.

Prior notification of a concentration

(Case M.10234 — Bain Capital/Cinven/Lonza Specialty Ingredients)

1.   

On 11 May 2021, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Bain Capital Investors L.L.C. (‘Bain Capital’, US),

Cinven Capital Management (VII) General Partner Limited (‘Cinven’, UK),

The Lonza Specialty Ingredients business (‘Lonza Specialty Ingredients’, Switzerland), controlled by Lonza Group AG (Switzerland).

Bain Capital and Cinven acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the whole of Lonza Specialty Ingredients.

The concentration is accomplished by way of purchase of shares.

2.   

The business activities of the undertakings concerned are:

Bain Capital is a private equity investment firm that invests in companies across a number of industries, including information technology, healthcare, retail and consumer products, communications, financial services and industrial/manufacturing,

Cinven is a private equity business engaged in the provision of investment management and investment advisory services to a number of investment funds,

Lonza Specialty Ingredients provides microbial control solutions and chemical technologies for a range of end-uses including wood protection, oil and gas, plastics, metals, and paints and coatings applications. It also provides specialty products and services, such as composite materials, performance intermediates and chemicals, and custom development and manufacturing services for a range of applications and industries.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

4.   

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
