Prior notification of a concentration

1.

On 16 September 2013, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which CVC Capital Partners SICAV-FIS SA (‘CVC’, Luxemburg) acquires sole control of Domestic & General Group Holdings (the United Kingdom) within the meaning of Article 3(1)(b) of the Merger Regulation by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

for CVC: advice to and management of investment funds. The funds managed by CVC solely or jointly control a number of companies, among which Acromas Holdings Ltd, the owner of AA Group and Saga. AA Group and Saga are both active in out-of-warranty repair services through the provision of protection plans for boiler and central heating systems,

for Domestic & General Group Holdings: provision of extended warranties for domestic appliances outside the manufacturer's original warranty.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. On 16 September 2013, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which INEOS AG (‘INEOS’, Switzerland) and Solvay SA (‘Solvay’, Belgium) acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of the whole of a joint venture (the ‘JV’), by way of contribution to the JV of their respective chlorvinyls businesses and certain others assets.

The business activities of the undertakings concerned are:

for INEOS: manufacturing of petrochemicals, speciality chemicals and oil products in 11 countries throughout the world,

for Solvay: manufacturing of chemicals and plastics in 55 countries throughout the world,

for the JV: production and sale of polyvinyl chloride (PVC) and related products (such as caustic soda) in the EEA.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.
