Initiation of proceedings

(Case COMP/M.7018 — Telefónica Deutschland/E-Plus)

On 20 December 2013, the Commission decided to initiate proceedings in the above mentioned case after finding that the notified concentration raises serious doubts as to its compatibility with the internal market. The initiation of proceedings opens a second phase investigation with regard to the notified concentration, and is without prejudice to the final decision on the case. The decision is based on Article 6(1)(c) of Council Regulation (EC) No 139/2004.

The Commission invites interested third parties to submit their observations on the proposed concentration to the Commission.

In order to be fully taken into account in the procedure, observations should reach the Commission not later than 15 days following the date of this publication. Prior notification of a concentration

(Case COMP/M.7138 — ThyssenKrupp/Acciai Speciali Terni/Outokumpu VDM)

1.

On 8 January 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking ThyssenKrupp AG (‘TK’, Germany) intends to acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control over the undertakings Acciai Speciali Terni (‘AST’, Italy) and Outokumpu VDM (‘VDM’, Germany, and together ‘AST/VDM’) and their affiliates by means of the acquisition of shares.

2.

The business activities of the undertakings concerned are:

for TK: flat carbon steel products (Europe and Americas) and their distribution, elevator technology, components technology and industrial solutions such as specialist engineering, construction services and end-to-end engineering services,

for AST/VDM: production and distribution of stainless steel products and high performance alloys, forging, tube making.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Candidate case for simplified procedure

1.

On 8 January 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the Carlyle Group (‘Carlyle’, United States) and Madison Dearborn Partners LLC (‘MDP’, United States) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of Chesapeake Service Ltd. and its subsidiaries (‘Chesapeake’, United Kingdom), currently solely controlled by Carlyle, and Multi Packaging Solutions Inc. and its subsidiaries (‘MPS’, United States), currently solely controlled by MDP, through a joint holding structure.

The business activities of the undertakings concerned are:

for Carlyle: global alternative asset manager,

for MDP: private equity investments and funding,

for Chesapeake: manufacturing and sale of secondary paper-based packaging solutions,

for MPS: manufacturing and sale of packaging solutions, in particular secondary paper-based packaging and plastic packaging solutions.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the EC Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the EC Merger Regulation (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication.
