Prior notification of a concentration

(Case M.7927 — EPH/Enel/SE)

1.

On 20 June 2016, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Energetický a průmyslový holding, a.s. (‘EPH’, Czech Republic) and Enel SpA (‘Enel’, Italy) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertaking Slovenske elektrarne, a.s. (‘SE’, Slovakia), by way of purchase of shares.

The business activities of the undertakings concerned are:

SE is active in electricity generation, wholesale and retail supply of electricity, as well as balancing and ancillary services in Slovakia. SE is currently solely controlled by Enel,

—

Enel is a global player, active in electricity and gas generation, distribution and supply,

—

EPH is a vertically integrated utility company engaged in coal extraction, electricity and heat production, distribution and supply as well as gas transmission, distribution, storage and supply.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
