(Case M.12507 – LTM / RANDSTAD (DIGITAL SOLUTIONS BUSINESS))

On 17 July 2026, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

LTM UK & Ireland Limited (‘LTM UK’, United Kingdom), a wholly owned subsidiary of LTM Limited (‘LTM’, India), controlled by Larsen & Toubro Limited (India),

Randstad Digital B.V. (Netherlands), Randstad Digital France SAS (France) and FinXL Professional Services Pty Ltd (Australia), together the Randstad Digital Solutions Business (‘RDS’), currently controlled by Randstad N.V. (Netherlands).

LTM will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of RDS.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

LTM is a global provider of technology consulting and digital solutions that offers a comprehensive range of IT services in various industries,

RDS provides IT services and consulting to a wide range of business clients across Europe and Australia. Its services include general cloud, infrastructure, and IT services, including in the areas of customer/user experience and user interface, digital and product development, data and analytics, platform- and workflow-related solutions, cybersecurity, and other services supporting digital transformation. In addition, RDS offers HR services, including the recruitment and placement of digital specialist, the provision of global digital talent hubs, managed solutions and program delivery.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2), it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
