1.
On 31 March 2026, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Suzano International Holding B.V. (‘Suzano International’, Netherlands), controlled by Suzano S.A. (‘Suzano’, Brazil), |
|
— |
Kimberly-Clark IFP NewCo B.V. (‘Kimberly Clark IFP’, Netherlands), controlled by Kimberly-Clark Corporation (‘Kimberly-Clark’, United States). |
Suzano International will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of Kimberly Clark IFP.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:|

Suzano International is a holding company controlled by Suzano, which is a publicly traded company listed on the São Paulo and New York Stock Exchanges. Suzano is mostly active in the production and sales of wood pulp at global level, as well as of tissue products in Brazil, |

Kimberly Clark IFP comprises the assets related to the manufacturing, marketing, distribution and sale of tissue products of Kimberly-Clark’s ‘International Family Care & Professional’ business located notably in Europe, the UK, South America, Central America, Africa, the Middle East and Asia. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
