1.   

On 13 January 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Stellantis Financial Services Europe (‘SFSE’) (France), belonging to

the Stellantis N.V. group (‘Stellantis Group’) (Netherlands),

Banco Bilbao Vizcaya Argentaria (‘BBVA’) (Spain),

FCA Compania Financiera S.A. (‘FCA FC’) (Argentina).

BBVA and SFSE will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of FCA FC.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

SFSE offers financing solutions, insurance products and mobility solutions through its subsidiaries and/or its equally-owned joint-venture companies for all Stellantis brands. SFSE is part of the Stellantis Group,

BBVA is the parent company of the BBVA Group, a globally active financial services provider headquartered in Bilbao and Madrid, Spain. BBVA mainly offers banking services and is also active in asset management and insurance services. Apart from its home market in Spain, BBVA has a strong presence in the Americas (USA, Mexico and South America) and Turkey,

FCA FC is a joint venture, currently being held by FCA Automobiles Argentina S.A. and by Fidis SpA, which are both part of the Stellantis Group. FCA FC currently offers financial services for certain Stellantis-branded cars in Argentina (Fiat, Jeep and Ram).

The business activities of the undertaking FCA FC are the following: provision of financial services for certain Stellantis-branded cars in Argentina (Fiat, Jeep and Ram).

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
