1.
On 20 August 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Apollo Capital Management, L.P. (‘ACM’, USA), part of the Apollo Funds group (‘Apollo’, USA), |
|
— |
DHL eCommerce International Holdings BV (‘DHL eCommerce’, Netherlands), belonging to Deutsche Post AG group (‘DHL’, Germany), |
|
— |
EVRi Limited (‘EVRi’, UK), controlled by ACM, |
|
— |
DHL Parcel UK Holding Limited (‘DHL Parcel UK’, UK), controlled by DHL. |
ACM and DHL eCommerce will acquire within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation joint control of DHL Parcel UK and EVRi.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:|

ACM is an investment adviser, and Apollo is a global alternative asset manager that offers investment management and financial planning services to individuals and institutional investors globally. |
|
— |
DHL eCommerce is the holding company of certain legal entities active in the DHL Group’s global eCommerce business (outside of Germany). |

The business activities of EVRi and DHL Parcel UK are the following:|
— |
EVRi is a parcel delivery company. EVRi is mainly active in the UK but also provides limited third-party contract logistics services in the Netherlands and cross-border freight forwarding services in the Republic of Ireland through a wholly owned subsidiary, Coll-8, |

— |
DHL Parcel UK is a holding vehicle for DHL eCommerce UK Limited, which provides next-day parcel delivery services as well as mail delivery services in the UK. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.
5.
The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
