Prior notification of a concentration

(Case M.11807 – UNITED GROUP / MOTOR OIL (HELLAS) / ALPHA SATELLITE TV)

On 21 March 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

United Group B.V. (‘United Group’, Netherlands), solely controlled by BC Partners LLP (United Kingdom),

Motor Oil (Hellas) Corinth Refineries S.A. (‘Motor Oil (Hellas)’, Greece),

Alpha Satellite Television S.A. (‘Alpha Satellite TV’, Greece), currently jointly controlled by Motor Oil (Hellas) and Primos Media S.à.r.l (Luxembourg).

United Group and Motor Oil (Hellas) will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of Alpha Satellite TV.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

United Group is active in the provision of media and telecommunication services in Southeast Europe, including in Greece and Cyprus,

Motor Oil (Hellas) operates mainly in the petroleum refining sector. It is also active in the sale of petroleum products, such as automotive and aviation fuels, fuel oil, domestic heating oil, liquified petroleum gas, and biofuels,

Alpha Satellite TV operates the free-to-air TV channel ‘ALPHA TV’ in Greece.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
