1.
On 8 February 2024, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

OEP Hitch B.V. (‘OEP Hitch’, Netherlands), controlled by OEP Coöperatief, |
|
— |
EMC S.r.l. (‘EMC’, Italy), controlled by Mr. Enrico Cornia, |
|
— |
CBM S.p.A. (‘CBM’, Italy), controlled by EMC. |
OEP Hitch and EMC will acquire within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation joint control of CBM.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:|

OEP Hitch is a company incorporated under the laws of the Netherlands that is directly controlled by OEP Coöperatief, which forms part of the investment structure of OEP Fund VIII, |

EMC is an Italian holding company solely owned and controlled by Mr. Enrico Cornia. EMC was specifically incorporated for purposes of the Proposed Transaction, and it does not own or control any companies other than CBM, |
|
— |
CBM is an Italian company active in the market for the design and manufacturing of systems for coupling, towing, and lifting implements for off-highway vehicles, specializing in the manufacturing of tractor attachment systems such as three-point linkages, trailer hitches and pick-up hitches. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
