Prior notification of a concentration

(Case COMP/M.5862 — Mahle/Behr/Behr Industry)

On 21 May 2010, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Mahle GmbH (‘Mahle’, Germany) and Behr GmbH & Co KG (‘Behr’, Germany) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertaking Behr Industry GmbH & Co KG (‘Behr Industry’, Germany) by way of purchase of shares.

The business activities of the undertakings concerned are:

for Mahle: development, manufacturing and sale of components and systems for automotive and motor vehicles,

for Behr: development and manufacturing of components and complete systems of motor cooling and air-conditioning for automotive vehicles,

for Behr Industry: development and manufacturing of cooling and air-conditioning systems for off-highway applications.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
