On 21 April 2010, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Unilever N.V., the Netherlands, and Unilever Plc, United Kingdom, (together ‘Unilever’) acquire within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertaking Sara Lee Household and Body Care International (‘Sara Lee Body Care’, the Netherlands), belonging to Sara Lee Corporation (‘Sara Lee’, USA) by way of irrevocable binding offer announced on 25 September 2009, and agreed by Sara Lee to accept.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
