Prior notification of a concentration

(Case COMP/M.5602 — RREEF Fund/BP/EVE/Repsol/BBG)

1.

On 4 September 2009, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings RREEF Pan-European Infrastructure Fund LP (‘RREEF Fund’, United Kingdom), ultimately managed by Deutsche Bank (‘DB’, Germany), BP PLC (‘BP’, United Kingdom), Ente Vasco De La Energia (‘EVE’, Spain) and Repsol YPF, S.A. (‘Repsol’, Spain), acquire, within the meaning of Article 3(1)(b) of the Regulation, joint control of the undertaking Bahía De Bizkaia Gas, S.L. (‘BBG’, Spain) by way of purchase of shares in an existing joint venture. Currently, BBG is jointly controlled by Iberdrola S.A. (‘Iberdrola’, Spain), BP, EVE and Repsol.

The business activities of the undertakings concerned are:

for RREEF Fund: investment fund active in banking, financial and related services worldwide,

for BP: exploration, development and production of oil and gas; refining, manufacturing and marketing of oil products and petrochemicals and the development of renewable energies,

for EVE: public entity operating in the Basque region of Spain in the field of energy, water and telecommunications,

for Repsol: active in Spain in the exploration and commercial exploitation of petroleum and related products, together with other sources of energy,

for BBG: regasification of liquid natural gas in Spain.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
