DECISION OF THE EEA JOINT COMMITTEE

No 157/2005

of 2 December 2005

amending Annex XXII (Company law) to the EEA Agreement

THE EEA JOINT COMMITTEE,

Having regard to the Agreement on the European Economic Area, as amended by the Protocol adjusting the Agreement on the European Economic Area, hereinafter referred to as ‘the Agreement’, and in particular Article 98 thereof,

Whereas:

(1)

Annex XXII to the Agreement was amended by Decision of the EEA Joint Committee No 107/2005 (1).

(2)

Commission Recommendation 2004/913/EC of 14 December 2004 fostering an appropriate regime for the remuneration of directors of listed companies (2) is to be incorporated into the Agreement.

(3)

Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board (3) is to be incorporated into the Agreement,

HAS DECIDED AS FOLLOWS:

Article 1

Under the heading ’ACTS OF WHICH THE CONTRACTING PARTIES SHALL TAKE NOTE’, the following points shall be inserted after point 13 (Commission Recommendation 2001/453/EC) of Annex XXII to the Agreement:

‘14.

32004 H 0913: Commission Recommendation 2004/913/EC of 14 December 2004 fostering an appropriate regime for the remuneration of directors of listed companies (OJ L 385, 29.12.2004, p. 55).

15.

32005 H 0162: Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board (OJ L 52, 25.2.2005, p. 51).’

Article 2

The texts of Recommendations 2004/913/EC and 2005/162/EC in the Icelandic and Norwegian languages, to be published in the EEA Supplement to the Official Journal of the European Union, shall be authentic.

Article 3

This Decision shall enter into force on 3 December 2005, provided that all the notifications under Article 103(1) of the Agreement have been made to the EEA Joint Committee (*1).

Article 4

This Decision shall be published in the EEA Section of, and in the EEA Supplement to, the Official Journal of the European Union.
