Prior notification of a concentration

(Case M.11918 – SAEME / ID LOGISTICS / ID LOGISTICS POLSKA 4)

Candidate case for simplified procedure

(Text with EEA relevance)

(C/2025/2922)

1.

On 15 May 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Société Anonyme des Eaux Minérales d’Evian (‘SAEME’, France), subsidiary of Danone SA (‘Groupe Danone’, France),

ID Logistics SAS (‘IDL’, France), subsidiary of ID Logistics Group SA (France),

ID Logistics Polska 4 (‘IDL Polska’, Poland), currently owned and controlled by IDL.

SAEME and IDL will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of IDL Polska.

The concentration is accomplished by way of purchase of shares.

2.

The business activities of the undertakings concerned are the following:

SAEME, a subsidiary of Groupe Danone specialising in the agri-food sector, is a French company engaged in the production and marketing of mineral water,

IDL is a pure player in logistics services in France and on the international market. Through its subsidiaries, the French group offers integrated logistics services in more than a dozen countries, including transport and warehousing services and value-added services, mainly for high-profile customers,

IDL Polska is the Polish subsidiary of IDL. IDL Polska principally provides fourth party logistics or ‘4PL’ services, i.e. it brings together and manages the resources, technology and infrastructure capacities of other logistics operators in the supply chain.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2), it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission no later than ten days following the date of this publication. The following reference should always be specified:
