Prior notification of a concentration

1.   

On 25 June 2024, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

bpost SA/NV (‘bpost’, Belgium), owned at 51.04 % by the Belgian State through the Société Fédérale de Participations et d’Investissements (Belgium),

Staci SAS (‘Staci’, France), ultimately controlled by Ardian Holding S.A.S (‘Ardian’, France).

bpost will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of Staci.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

bpost provides the universal postal service and certain services of general economic interest in Belgium. In addition, bpost is active in non-universal mail, parcel delivery services, e-fulfilment logistics services and press distribution in Europe, United States and Asia,

Staci provides retail logistics services and offers Business to Business (B2B) and Business to Consumer (B2C) logistics solutions for companies that outsource supply operations for their network or customers in Europe, the United States and Asia. Ardian is a private equity group.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
