1.

On 30 June 2015, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Grupo Antolín-Irausa SA (‘Grupo Antolín’, Spain) acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control over identified businesses of Magna Interiors (‘Magna Interiors’), a wholly-owned operating unit of Magna International, Inc. (Canada), by way of a combined purchase of assets and shares.

The business activities of the undertakings concerned are:

—   for Grupo Antolín: the global manufacturing and supply of automotive interior components, including overhead systems and components, doors, seats, lighting and trims,

—   for Magna Interiors: the global manufacturing and supply of automotive interior components, including overhead systems and components, sidewall and trim systems, cargo management systems and cockpit systems.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
