    Prior notification of a concentration

    (Case M.7196 — Kuwait Petroleum BV/Kuwait Petroleum Italia/Shell Italia/Shell Aviazione)

    1.

    On 6 May 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Kuwait Petroleum Italia S.p.A. (‘KPI’, Italy) and Kuwait Petroleum Europe B.V. (‘KPE’, the Netherlands) both belonging to the Kuwait Petroleum Corporation (‘KPC’, Kuwait) acquire within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertakings Shell Italia S.p.A. (‘Shell Italia’, Italy) and Shell Italia Aviazione S.r.l. (‘Shell Aviazione’, Italy) by way of purchase of shares.

    The business activities of the undertakings concerned are:

    —   for undertaking KPE: the holding company for the majority of KPC’s assets in Europe, as well as KPC’s downstream investments in Far East,

    —   for undertaking KPI: the refining, marketing and distribution of petroleum products in Italy,

    —   for undertaking Shell Italia: retail of motor fuels, management of supply and distribution operations related to the sale of motor fuels through its retail network,

    —   for undertaking Shell Aviazione: marketing of aviation fuels and into-plane services and aviation fuel storage in Italian airports.

    3.

    On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

    4.

    The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
