Prior notification of a concentration

(Case M.8934 — Danske Bank/DNB/Nordea Bank/SEB/Svenska Handelsbanken/Swedbank/KYC Utility)

1.   

On 17 May 2019, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Danske Bank A/S (‘Danske Bank’, Denmark),

DNB Bank ASA (‘DNB’, Norway),

Nordea Bank Abp (‘Nordea’, Sweden),

Skandinaviska Enskilda Banken AB (‘SEB’, Sweden),

Svenska Handelsbanken AB (‘Svenska Handelsbanken’, Sweden),

Swedbank AB (‘Swedbank’, Sweden).

The proposed concentration consist of the acquisition of joint control, within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation, by Danske Bank, DNB, Nordea, SEB, Svenska Handelsbanken, and Swedbank over a newly created joint venture (‘KYC Utility’).

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:

Danske Bank, DNB, Nordea, SEB, Svenska Handelsbanken, and Swedbank are banking groups based in the Nordics,

KYC Utility will be active in the Nordic region offering Know Your Customer (‘KYC’) services consisting in gathering, validating, and providing to customers, such as banks and financial institutions, the information required under the applicable anti-money laundering and counter-terrorist financing regulations, with the view of facilitating compliance with these regulations.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
