    Prior notification of a concentration

    (Case M.8951 — Suzano Papel e Celulose/Fibria Celulose)

    1.   

    On 9 October 2018, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

    This notification concerns the following undertakings:

    Suzano Papel e Celulose S.A. (‘Suzano’, Brazil),

    Fibria Celulose S.A. (‘Fibria’, Brazil).

    Suzano acquires, within the meaning of Article 3(1)(b) of the Merger Regulation, control over the whole of Fibria.

    The concentration is accomplished by way of purchase of shares.

    2.   

    The business activities of the undertakings concerned are:

    Suzano is active in the production of wood pulp and paper products. Its wood pulp is used to produce various paper grades used in packaging, printing & writing, specialties and tissue. Suzano’s paper products portfolio comprises coated and uncoated printing & writing paper, paperboard and tissue paper. Suzano also produces small volumes of fluff pulp. Suzano’s production facilities are located in Brazil and its products are exported globally.

    Fibria is a producer of wood pulp. Its wood pulp is used to produce various paper grades used in packaging, printing & writing, specialties and tissue. Its industrial units are located in Brazil and its wood pulp is exported globally.

    On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

    4.   

    The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

    Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
