Prior notification of a concentration

On 6 April 2017, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking AXA SA (‘AXA’, France) and Caisse des dépôts et consignations (‘CDC’, France) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint indirect control of two joint property lots in France (‘Cible II’) by way of purchase of shares.

The business activities of the undertakings concerned are:

—   for AXA: a global insurance group active in life and health insurance, other forms of insurance, and investment management,

—   for CDC: a public institution carrying out activities of general interest, consisting in particular of the management of private funds to which the public authorities wish to afford particular protection and activities open to competition in the environmental, real-estate, investment and capital investment, and services sectors,

—   Cible (II): two lots of joint property for commercial use within a shopping centre situated in the Provence-Alpes-Côte d’Azur region.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit to it their observations on the proposed operation.

Observations must reach the Commission no later than 10 days following the date of publication of this notification.
