Prior notification of a concentration

On 25 February 2013, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Ratos AB (publ) (‘Ratos’, Sweden) and Ferd Aibel Holding AS (‘Ferd Aibel Holding’, Norway), ultimately controlled by Ferd SA (Norway) acquire within the meaning of Article 3(1)(b) of the Merger Regulation indirect joint control of the Aibel Group (‘Aibel’, Sweden) by way of purchase of shares.

The business activities of the undertakings concerned are:

for Ratos: a private equity conglomerate listed in Sweden,

for Ferd: a conglomerate with industrial activities in the form of active and long-term ownership of strong companies with international potential, and financial activities carried out through investments in a broad range of asset classes,

for Aibel: complete solutions in engineering, procurement, construction and installation to the upstream offshore and onshore oil and gas production facilities, mainly on the Norwegian Continental Shelf. The activities of Aibel are organized in four business areas: maintenance, modification, field development and offshore wind.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
