(Case COMP/M.6400 — ECE/Metro/MEC JV)

(Text with EEA relevance)

2011/C 284/04

1.

On 21 September 2011 the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking(s) ECE Projektmanagement GmbH & Co. KG (‘ECE’, Germany), ultimately controlled by Alexander Otto, and Metro Group Asset Management Services (‘MAMS’, Germany), fully owned subsidiary of Metro AG (‘Metro’, Germany), acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertaking MEC Metro-ECE Centermanagement GmbH & Co. KG (‘MEC’, Germany), by way of purchase of shares in a newly created company constituting a joint venture.

2.

The business activities of the undertakings concerned are:

ECE: Consultation and management with regard to the acquisition, development, planning and construction of commercial properties and other immovable assets as well as the management of let property and administration, control and disposal of such property,

MAMS: Providing essential services within the property segment of the Metro Group for the management, development, leasing, construction and control of investment properties in the portfolio of the Metro Group,

MEC: Property management services for retail property.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication.
