Prior notification of a concentration

(Case COMP/M.4104 — Aker Yards/Chantiers de l'Atlantique)

On 20 February 2006, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Aker Yards France Holding AS, wholly-owned by Aker Yards ASA (‘Aker Yards’), which is controlled by the Norwegian group Aker ASA (‘Aker ASA’), acquires within the meaning of Article 3(1)(b) of the Council Regulation control of most of the assets and activities of the French undertaking Chantiers de l'Atlantique, a wholly owned subsidiary of Alstom Holdings, in turn a wholly owned subsidiary of Alstom SA (France), by way of purchase of shares in a newly created company.

The business activities of the undertakings concerned are:

for Aker Yards: international shipbuilding group focusing on sophisticated vessels, including cruise ships and ferries;

for Aker ASA: industrial group with wide-spread activities around the world, active in the shipbuilding industry through Aker Yards and Aker American Shipping;

for Chantiers de l'Atlantique: French shipyard focusing on high value-added shipbuilding, including construction of cruise ships, LNG tankers and naval ships. Through its subsidiary AMR it is also involved in the manufacturing of mobile homes and casing sheets for industrial machines.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication.
