1.

On 6 February 2015, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Aviva Plc (Aviva, UK) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertakings Friends Life Group Limited (Friends Life, Guernsey) and Tenet Group Limited (Tenet, UK) by way of purchase of shares.

The business activities of the undertakings concerned are:

—   for Aviva: provision of life insurance, non-life insurance, asset managment and reinsurance services principally in the UK, France and Canada, but also elsewhere in Europe and Asia;

—   for Friends Life: provision of life insurance and insurance distribution services in the UK, Germany, the United Arab Emirates, Singapore, Hong Kong and the Isle of Man;

—   for Tenet: insurance distribution and related services in the UK.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
