Prior notification of a concentration

(Case COMP/M.5901 — Montagu/GIP/Greenstar)

1.

On 30 June 2010, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Montagu Private Equity LLP (‘Montagu’, United Kingdom) and Global Infrastructure Partners — (‘GIP’, USA), jointly controlled by General Electric Company (‘GE’, USA), Credit Suisse Groupe (‘CSG’, Switzerland) and Global Infrastructure Management Participation LLC (‘GIMP’, USA), acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of Greenstar Holdings Ltd and its subsidiaries (‘Greenstar’, United Kingdom and Wales), belonging to NTR (‘NTR’, Ireland) by way of purchase of shares.

The business activities of the undertakings concerned are:

Montagu: private equity investment,

GIP: infrastructure investment,

GE: diversified technology and services,

CSG: investment banking, private banking, asset management and other financial services,

GIMP: a holding company relating to the provision of asset management services,

Greenstar: waste management,

NTR: an international renewable energy group.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
