    1.   

    On 24 July 2023, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

    This notification concerns the following undertakings:

    Enel Green Power S.p.A. (‘EGP’, Italy), belonging to the Enel Group (Italy),

    INPEX Corporation (‘INPEX’, Japan),

    Enel Green Power Australia Pty Ltd (‘EGPA’, Australia), belonging to the ENEL Group,

    Enel Green Power Australia Trust (‘Master Trust’, Australia), belonging to the ENEL Group.

    EGP and INPEX will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of EGPA and Master Trust.

    The concentration is accomplished by way of purchase of shares.

    The business activities of the undertakings concerned are the following:

    EGP is the renewable arm of the Enel Group, headquartered in Rome. EGP operates worldwide (directly or through its subsidiaries) in the production and selling of energy from renewable sources,

    INPEX is an exploration and production company headquartered in Tokyo, Japan. It engages in research, exploration, development, production and sales of oil, natural gas, other mineral resources and other related businesses, and investment and lending to companies engaged in these activities,

    EGPA and Master Trust engage in investing in renewable energy projects, providing an end-to-end renewables platform that develops and operates projects, and energy retail and trading. EGPA and Master Trust operate only in Australia.

    On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

    Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

    4.   

    The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

    Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
