Prior notification of a concentration

1.
On 30 September 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Global Infrastructure Management LLC (‘GIP’, US), |
— |
Meridiam S.A.S., (‘Meridiam’, France), |
— |
Suez Recycling and Recovery UK Group Holdings Ltd. (‘Activité Déchets Non Dangereux UK’, United Kingdom). |
Through Suez S.A. (a joint venture between GIP and Meridiam), GIP and Meridiam will acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control over the whole of Activité Déchets Non Dangereux UK.
The concentration is accomplished by way of purchase of securities in Activité Déchets Non Dangereux UK, a set of assets and shareholdings in the non-hazardous waste sector in the United Kingdom.

The business activities of the undertakings concerned are:

GIP: an independent infrastructure fund manager investing in the transport, energy, waste and water sectors, |
— |
Meridiam: a global operator specialised in the development, financing and long-term management of infrastructure, in particular in the sectors of (i) mobility, (ii) energy transition and (iii) environmental and social infrastructure, |
— |
Activité Déchets Non Dangereux UK: active in the non-hazardous waste sector in the United Kingdom, in particular in the collection, sorting, recycling, recovery (energy and materials) and disposal of household, commercial and industrial waste. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission no later than 10 days following the date on which this notification is published. The following reference should always be specified:
