1.

On 6 February 2015, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Becton Dickinson and Company (‘Becton Dickinson’) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertaking CareFusion Corporation (‘CareFusion’), both of the US, by way of purchase of shares.

The business activities of the undertakings concerned are:

—   For Becton Dickinson: activities in the health care industry, in particular the development, manufacture and sales of medical devices, instrument systems and reagents. It is focused on medical products intended to improve drug delivery, and enhance the quality and speed of diagnosing infectious diseases and cancers, as well as on research, discovery and production of new drugs and vaccines,

—   For CareFusion: activities in the health care industry, in particular provision of various products and services to hospitals such as infusion pumps and intravenous sets, automated dispensing and patient identification systems, ventilation and respiratory products, surgical instruments, etc.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
