Prior notification of a concentration

1.

On 20 December 2005 the Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which the funds AAC 2005 France A FCPR and AAC 2005 France B FCPR, represented for this purpose by their management company, ABN Amro Capital France, and the fund L Capital 2 FCPR, represented for this purpose by its management company, L Capital Management, acquire joint control of Sanutri AG, a subsidiary of the Novartis group, by way of purchase of shares through an ad hoc acquisition vehicle (simplified limited company under French law).

The business activities of the undertakings concerned are:

—

ABN Amro Capital France SA: venture capital company whose main business is managing the funds of other investors and investing them in unlisted companies or investment funds;

—

L Capital Management: venture capital company whose main business is managing the funds of other investors and investing them in unlisted companies or investment funds;

—

Sanutri AG: company operating in the field of dietary food products.

On preliminary examination, and without prejudice to its final decision on the matter, the Commission finds that the notified concentration could fall within the scope of Regulation (EC) No 139/2004.

The Commission invites interested third parties to submit their observations on the proposed concentration.

Observations must reach the Commission not later than ten days following the date of this publication. They may be sent by fax (No (32-2) 296 4301 or 296 7244) or by post, under reference COMP/M.4083 — ABN Amro Capital France/L Capital/Sanutri, to:
