    Prior notification of a concentration

    (Case COMP/M.5741 — CDC/Veolia Environment/Transdev/Veolia Transport)

    1.

    On 25 June 2010, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Veolia Environnement (‘Veolia Environnement’, France) and the Caisse des Dépôts et Consignations (‘CDC’, France) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertakings Transdev (‘Transdev’, France) and Veolia Transport (‘Veolia Transport’, France), forming a new company, Veolia Transdev, by way of purchase of shares.

    The business activities of the undertakings concerned are:

    Veolia Environnement: international group active in (i) delegated management of water and sanitation services, (ii) provision of cleaning and waste treatment services, (iii) provision of energy services and (iv) delegated management of transport services,

    Veolia Transport: subsidiary of Veolia Environnement specialising in the provision of public passenger transport services and the delegated management of urban, inter-city (département and regional level), and national networks for all types of vehicles (bus, train, metro, tram, etc.) on an international scale,

    CDC: public corporation responsible for tasks of general interest consisting of (i) managing private funds for which public authorities wish to provide special protection, and (ii) lending or investing in activities for the public interest. CDC is thus active in the fields of personal insurance, transport, real estate and the development of companies and services,

    Transdev: subsidiary of CDC in charge of public urban and inter-city transport operations by train, tram or metro, bus, coach, trolley bus, river shuttle, car sharing and bicycle, mainly in Europe.

    On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

    4.

    The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
