Prior notification of a concentration

(Case M.12291 – APOLLO FUNDS / PROSOL GROUP)

Candidate case for simplified procedure

1.   

On 3 February 2026, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Apollo Capital Management, L.P (‘Apollo Capital Management, L.P’) controlled by Apollo Global Management, Inc. (‘AGM’) (together with the indirect subsidiaries of AGM managing the investment funds, ‘Apollo’, and the investment funds managed by affiliates of Apollo, the ‘Apollo Funds’), (Unites States),

Prosol Group (‘Target’, France), controlled by ZF Invest and ultimately controlled by Ardian.

Apollo Capital Management, L.P. will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of Prosol Group.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

Apollo is a high-growth global alternative asset manager headquartered in New York City, New York in the United States. Apollo offers investment management and financial planning services to individuals and institutional investors,

Prosol Group is a multi-specialist in fresh food businesses and food retail, headquartered in France. Prosol Group primarily operates mainly in France and Italy (and to a lesser extent, Belgium, Luxembourg and the Netherlands) under various banners, the two main banners being: Grand Frais and Fresh where it provides fruit, vegetables, dairy, meat and fish. Other banners also include La Boulangerie du Marché, Mon Marché, BioFrais, Novoviande, and Banco Fresco in Italy.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2), it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
