Prior notification of a concentration

(Case M.11936 – NASPERS / JUST EAT TAKEAWAY)

1.   

On 20 June 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Naspers Limited (‘Naspers’, South Africa), the parent company of Prosus N.V. (‘Prosus’, Netherlands) and its indirectly wholly owned subsidiary MIH BidCo Holdings B.V. (‘MIH BidCo’, Netherlands),

Just Eat Takeaway.com N.V. (‘JET’, Netherlands).

Naspers, through Prosus and MIH BidCo, will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of JET.

The concentration is accomplished by way of public bid announced on 19 May 2025.

The business activities of the undertakings concerned are the following:

Naspers is a multinational holding company. Its subsidiary Prosus is a globally active consumer internet group and technology investor whose portfolio companies are active in food delivery, eCommerce, fintech, classified advertising and edtech across the EEA and worldwide. Naspers, through Prosus, owns a minority shareholding in Delivery Hero SE, an on-demand delivery company,

JET is a global on-demand delivery company, connecting consumers and partners through its online food ordering and delivery platforms.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
