COUNCIL RECOMMENDATION
of 19 September 2023
on the appointment of a member of the Executive Board of the European Central Bank

THE COUNCIL OF THE EUROPEAN UNION,
Having regard to the Treaty on the Functioning of the European Union, and in particular Article 283(2) and Article 139(2) thereof,
Having regard to Protocol No 4 on the Statute of the European System of Central Banks and of the European Central Bank, and in particular Article 11.2 thereof,
HEREBY RECOMMENDS TO THE EUROPEAN COUNCIL THAT:
Mr Piero Cipollone be appointed as a member of the Executive Board of the European Central Bank for a term of office of eight years with effect from 1 November 2023.

The publication of the list of border crossing points as referred to in Article 2(8) of Regulation (EU) 2016/399 of the European Parliament and of the Council of 9 March 2016 on a Union Code on the rules governing the movement of persons across borders (Schengen Borders Code) (2) is based on the information notified by the Member States to the Commission pursuant to Article 39 of the Schengen Borders Code.
In addition to the publication in the Official Journal, a regular update is available on the website of the Directorate-General for Migration and Home Affairs.

On 13 September 2023, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Charlesbank Capital Partners, LLC (‘Charlesbank’, USA), |
|
— |
Goldman Sachs Asset Management, LP (‘Goldman Sachs Asset Management’, USA), controlled by the Goldman Sachs Group, Inc (USA), |
|
— |
World Insurance Associates, LLC (‘World Insurance Associates’, USA), solely controlled by Charlesbank. |
Charlesbank Capital Partner and Goldman Sachs Asset Management will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of World Insurance Associates.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:|

Charlesbank is a private equity firm with portfolio companies active in business services, consumer, healthcare, industrial, technology and technology infrastructure, primarily in North America, |
|
— |
Goldman Sachs Asset Management provides investment and advisory services across public and private markets for international institutions, financial advisors and individuals. |

The business activities of World Insurance Associates are the following: insurance brokerage specialised in personal and commercial insurance lines, surety and bonding, employee benefits, financial and retirement services, and human capital management solutions.
4.
On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.
5.
The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:

Pfizer will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of Seagen.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:|

Pfizer is a pharmaceutical company active worldwide in the research, development, manufacturing and marketing of medicines in various areas, including oncology, |

— |
Seagen is a biotechnology company that develops and commercialises targeted therapies to treat cancer. Seagen’s efforts are exclusively in oncology. |

Hitachi Rail, Ltd. (‘Hitachi Rail’, United Kingdom), controlled by Hitachi, Ltd. (Japan), |

— |
The Ground Transportation Systems business of Thales S.A. (‘Thales GTS’, France). |
Hitachi Rail will acquire within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of Thales GTS.
The concentration is accomplished by way of purchase of shares.
The same concentration was already notified to the Commission on 4 October 2022, but the notification was subsequently withdrawn on 3 November 2022.

Hitachi Rail is a globally active provider of transport solutions including rolling stock, signalling systems, turnkey solutions, maintenance services and components, |

Thales GTS is a globally active provider of rail signalling and train control systems, telecommunications and supervision systems and fare collection solutions. |

Farfetch and Richemont will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control over YNAP.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:|

Farfetch is a global platform for the luxury fashion industry active in the retail supply of personal luxury goods, mainly through its marketplace and a suite of retail stores. Farfetch is also active in the supply of e-commerce services to brands, |

Richemont is a holding company comprising 26 personal luxury brands (the ‘Richemont Maisons’), including Cartier, Van Cleef & Arpels, Montblanc, Alfred Dunhill and IWC Schaffhausen as well as YNAP, |

YNAP is a global online retailer of personal luxury goods which provides a curated selection of luxury fashion goods through its own suite of online stores (Net-A-Porter, Mr Porter, YOOX and The Outnet). YNAP is also active in the provision of e-commerce services to brands. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
