On 17 February 2023, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. Prior notification of a concentration

Candidate case for simplified procedure

1.   

On 31 July 2023, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Deutsche Börse AG (‘DBAG’, Germany),

SimCorp A/S (‘SimCorp’, Denmark).

DBAG will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of SimCorp.

The concentration is accomplished by way of public bid announced on 27 April 2023.

2.   

The business activities of the undertakings concerned are the following:

For DBAG: Listing, trading and post-trading services for cash equities and fixed income products, derivatives trading and clearing services, trading, clearing and collateral management services for repurchase agreements, provisioning of market data and index data, as well as technology services,

For SimCorp: Software solutions for investment management, data management, client communications and related services for asset managers, asset servicers, banks, insurance funds, pension funds and wealth managers.

3.   

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.   

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:

1.   

On 31 July 2023, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Santander Consumer Leasing B.V. (‘SCL’) (The Netherlands), belonging to the Banco Santander Group,

Ethias NV/SA (‘Ethias’) (Belgium).

SCL and Ethias will acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the whole of Ethias Lease (‘the JV’).

The concentration is accomplished by way of purchase of shares in a newly created company constituting a joint venture.

2.   

The business activities of the undertakings concerned are the following:

SCL is a Dutch car leasing business of Santander Group, a Spanish-based financial services group,

Ethias is an insurer, offering a range of life and non-life insurance products, mostly active in Belgium.

3.   

The business activities of Ethias Lease will be the development and provision of operational leasing services for green electric vehicle (including insurance and assistance), and e-mobility solutions in the SME, corporate and public segments in Belgium, which shall operate as a multi-brand platform.

4.   

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.
