Non-opposition to a notified concentration

On 22 December 2021, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004 (1). Notice of the impending expiry of certain anti-dumping measures

(2022/C 197/04)

1.   As provided for in Article 11(2) of Regulation (EU) 2016/1036 of the European Parliament and of the Council of 8 June 2016 on protection against dumped imports from countries not members of the European Union (1), the Commission gives notice that, unless a review is initiated in accordance with the following procedure, the anti-dumping measures mentioned below will expire on the date mentioned in the table below.

2.   Procedure

Union producers may submit a written request for a review. This request must contain sufficient evidence that the expiry of the measures would be likely to result in a continuation or recurrence of dumping and injury. Should the Commission decide to review the measures concerned, importers, exporters, representatives of the exporting country and Union producers will then be provided with the opportunity to amplify, rebut or comment on the matters set out in the review request.

3.   Time limit

Union producers may submit a written request for a review on the above basis, to reach the European Commission, Directorate-General for Trade (Unit G-1), CHAR 4/39, 1049 Brussels, Belgium (2) at any time from the date of the publication of the present notice but no later than three months before the date mentioned in the table below.

4.   This notice is published in accordance with Article 11(2) of Regulation (EU) 2016/1036.

1.   

On 4 May 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

TowerBrook Capital Partners L.P. (‘TowerBrook’, United States),

Groupe Services France SAS and all its subsidiaries (‘GSF Group’, France).

TowerBrook will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of GSF Group.

The concentration is accomplished by way of purchase of shares.

2.   

The business activities of the undertakings concerned are:

TowerBrook: investment firm based in Europe and the United States that focuses on making investments in large and middle market European and North American companies,

GSF Group: French-based provider of cleaning services as well as some associated facility management services for office environments, industrial production premises, public-facing sites or medical establishments.

3.   

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.   

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:

1.   

On 6 May 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Traton SE (‘Traton’, Germany), controlled by Volkswagen AG,

Aktiebolaget Volvo PUBL (‘Volvo’, Sweden),

Daimler Truck AG (‘Daimler Truck’, Germany),

Joint Venture (‘Target’, Netherlands).

Traton, Volvo and Daimler Truck will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of the Target.

The concentration is accomplished by way of purchase of shares in a newly created company constituting a joint venture.

2.   

The business activities of the undertakings concerned:

Traton, solely controlled by Volkswagen AG, is the truck and bus business of the Volkswagen group of companies. It primarily operates through its operating units MAN, Scania, Navistar and Volkswagen Caminhões e Ônibus,

Volvo is globally active in the manufacture and sale of on- and off-highway trucks, buses, construction equipment and engines. In the EEA, it primarily operates through the brands Volvo and Renault Trucks,

Daimler Truck focuses on the manufacturing and sale of trucks and buses under the brand names Mercedes-Benz and Setra among others,

The Target is a joint venture for the building and operation of a publicly accessible high performance charging network for battery electric heavy duty trucks and coaches, along and close to major highways and logistical points of interest in selected countries in Europe.

3.   

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.
