The following information is brought to the attention of the persons that appear in the Annex to Council Decision 2011/235/CFSP (1), as amended by Council Decision (CFSP) 2019/562 (2), and in Annex I to Council Regulation (EU) No 359/2011 (3), as implemented by Council Implementing Regulation (EU) 2019/560 (4) concerning restrictive measures directed against certain persons, entities and bodies in view of the situation in Iran.

The Council of the European Union has decided that the persons that appear in the abovementioned Annexes should continue be included in the list of persons and entities subject to restrictive measures provided for in Decision 2011/235/CFSP and in Regulation (EU) No 359/2011.

The attention of the persons concerned is drawn to the possibility of making an application to the competent authorities of the relevant Member State(s) as indicated on the websites in Annex II to Regulation (EU) No 359/2011, in order to obtain an authorisation to use frozen funds for basic needs or specific payments (cf. Article 4 of the Regulation).

The persons concerned may submit a request to the Council before 31 December 2019, together with supporting documentation that the decision to include them on the abovementioned list should be reconsidered to the following address:

The purpose of the processing operation is the establishment and updating of the list of persons subject to restrictive measures in accordance with Decision 2011/235/CFSP, as amended by Decision (CFSP) 2019/562, and Regulation (EU) No 359/2011, as implemented by Implementing Regulation (EU) 2019/560.

The data subjects are the natural persons who fulfil the listing criteria as laid down in Decision 2011/235/CFSP and Regulation (EU) No 359/2011.

The personal data collected includes data necessary for the correct identification of the person concerned, the statement of reasons and any other data related thereto.

The personal data collected may be shared as necessary with the European External Action Service and the Commission.

Without prejudice to restrictions pursuant to Article 25 of Regulation (EU) 2018/1725, the exercise of the rights of the data subjects such as the right of access, as well as the rights to rectification or to object will be answered in accordance with Regulation (EU) 2018/1725.

Personal data will be retained for 5 years from the moment the data subject has been removed from the list of persons subject to the restrictive measures or the validity of the measure has expired, or for the duration of court proceedings in the event they had been started.

Without prejudice to any judicial, administrative or non-judicial remedy, data subjects may lodge a complaint with the European Data Protection Supervisor in accordance with Regulation (EU) 2018/1725 (edps@edps.europa.eu).

Opinion of the Advisory Committee on restrictive practices and dominant positions at its meeting on 21 February 2019 concerning a draft decision in Case AT.40023 Cross-border access to pay-tv

(1)   

The Advisory Committee shares the Commission’s concerns expressed in its draft Decision as communicated to the Advisory Committee on 6 February 2019 under Article 101 of the Treaty on the Functioning of the European Union (‘TFEU’) and Article 53 of the EEA Agreement.

(2)   

The Advisory Committee agrees with the Commission that the proceedings concerning The Walt Disney Company, The Walt Disney Company Limited (together ‘Disney’), Comcast Corporation, Universal Studios International B.V., Universal Studios Limited (together ‘NBCUniversal’), Sony Corporation, CPT Holdings, Inc., Colgems Productions Limited (together ‘Sony Pictures’), Warner Media, LLC., Warner Bros. International Television Distribution Inc. (together ‘Warner Bros.’) (Disney, NBCUniversal, Sony Pictures and Warner Bros together ‘the Studios’), Sky Limited and Sky UK Limited (together ‘Sky’) can be concluded by means of a decision pursuant to Article 9(1) of Regulation (EC) No 1/2003.

(3)   

The Advisory Committee agrees with the Commission that the commitments offered by each of the Studios and Sky are suitable, necessary and proportionate and should be made legally binding on each of the Studios and Sky.

(4)   

The Advisory Committee agrees with the Commission that, in light of the commitments offered by each of the Studios and Sky, there are no longer grounds for action by the Commission against each of the Studios and Sky, without prejudice to Article 9(2) of Regulation (EC) No 1/2003.

(5)   

The Advisory Committee recommends the publication of its opinion in the Official Journal of the European Union.

Final Report of the Hearing Officer (1)

Case AT.40023 — Cross-border access to pay-TV

Sky, Disney, NBCUniversal, Sony Pictures and Warner Bros. commitments

The present report relates to a draft commitments decision under Article 9 of Regulation No 1/2003 (2) (the ‘Draft Decision’). The Draft Decision is addressed to Universal Studios International B.V., Universal Studios Limited and Comcast Corporation (together ‘NBCUniversal’), CPT Holdings Inc., Colgems Productions Limited and Sony Corporation (together ‘Sony Pictures’), Warner Bros. International Television Distribution Inc. and Warner Media LLC (together ‘Warner Bros.’), The Walt Disney Company and The Walt Disney Company Limited (together ‘Disney’) and Sky UK Limited and Sky Limited (3) (together ‘Sky’). NBCUniversal, Sony Pictures, Warner Bros. and Disney are hereinafter collectively referred to as ‘the Studios’.

This is the second Hearing Officer Final Report in the context of Case AT.40023, the first one being the Final Report in relation to the Commission's decision of 26 July 2016 (4) (the ‘Paramount Decision’) accepting commitments from Paramount Pictures International Limited (formerly Viacom Global (Netherlands) B.V.) and Viacom Inc. (together ‘Paramount Pictures’) (5).

(3)   

Case AT.40023 concerns clauses (the ‘Clauses at Issue’) in certain bilateral licensing arrangements between, on the one hand, Sky and on the other, each of the Studios, Twentieth Century Fox Telecommunications International Inc. (together with Twenty-First Century Fox Inc., ‘Fox’ (6)) and Paramount Pictures. Certain of the Clauses at Issue prohibit or limit Sky from making its retail pay-TV services available in response to unsolicited requests from consumers residing and located in the European Economic Area (‘EEA’) but outside the United Kingdom and Ireland. The rest of the Clauses at Issue require NBCUniversal, Sony Pictures, Warner Bros., Fox or Paramount Pictures to prohibit or limit pay-TV broadcasters located within the EEA but outside the United Kingdom and Ireland from responding to unsolicited requests from consumers residing and located inside the United Kingdom and Ireland.

On 23 July 2015, the Commission adopted a Statement of Objections (the ‘SO’), in which the Commission expressed its preliminary view that the Clauses at Issue constitute an infringement by Universal Studios International B.V., Comcast Corporation, Disney, Sony Pictures, Warner Bros., Fox, Paramount Pictures and Sky (‘SO Addressees’) of Article 101 of the Treaty and Article 53 of the EEA Agreement.

All SO Addressees accessed the Commission's file between 3 and 5 August 2015. Following correspondence with Sony concerning its request for access to the information underlying the preliminary assessment in paragraph 267 of the SO, DG Competition provided each SO Addressee with the full text of footnote 132 of the SO. None of the SO Addressees referred the matter to me.

On 16 December 2015, following correspondence with Sky, Warner Bros. and Fox, DG Competition granted access to non-confidential versions of parts of the written responses to the SO of the other SO Addressees.

(7)   

Upon consideration of requests from Sky, Fox, Warner Bros. and NBCUniversal in particular, DG Competition granted the SO Addressees access to non-confidential versions of the written observations of interested third persons (7). All SO Addressees were given the possibility to present written comments on these observations.

(8)   

All the SO Addressees responded in writing to the SO by the deadline or, if applicable, the extended deadline, set by DG Competition and requested to be heard orally (8).

(9)   

The oral hearing was held over three days, from 18 to 20 January 2016. All SO Addressees and 11 interested third persons participated in the oral hearing.

(10)   

The Paramount Decision of 26 July 2016 made binding the commitments offered by Paramount Pictures to meet the concerns expressed to it by the Commission in the SO. On 12 January 2018, the Commission formally closed proceedings in Case AT.40023 to the extent that these concerned Paramount Pictures.

(11)   

On 12 January 2018, following changes to NBCUniversal's corporate structure, the Commission initiated proceedings pursuant to Article 2(1) of Regulation No 773/2004 in respect of Universal Studios Limited. On the same date, the Commission adopted a supplementary statement of objections addressed to NBCUniversal in which it reached the preliminary conclusion that the relevant Clauses at Issue constitute an infringement of Article 101 of the Treaty and Article 53 of the EEA Agreement by NBCUniversal. NBCUniversal responded in writing to this supplementary statement of objections by the set deadline and did not request to exercise its right to be heard orally.

Also on 12 January 2018, the Commission adopted a Letter of Facts addressed to the Studios, Fox and Sky, (together, the ‘Letter of Facts Addressees’) informing them about further evidence that the Commission had not expressly relied upon in the SO or the SSO but that may be relevant to support the preliminary conclusions reached in the SO and the SSO.

After the Letter of Facts was issued, the Commission granted the Letter of Facts Addressees additional access to its file in Case AT.40023. Certain requests for further access to file were referred to me. I granted parts of these requests and rejected the remainder.

(14)   

Following the issuing of the Letter of Facts, certain interested third persons requested access to a non-confidential version of this document in order to provide observations. I rejected the requests since interested third persons had already been informed by DG Competition of the nature and subject matter of the proceedings (which remained unchanged by the Letter of Facts) and had already provided their comments.

(15)   

On 25 October 2018, Disney offered commitments to meet the Commission's concerns expressed in the SO (‘Disney's initial commitments’).

(16)   

On 9 November 2018, the Commission published a notice pursuant to Article 27(4) of Council Regulation (EC) No 1/2003 (‘the first Notice’), summarising the case and Disney's initial commitments and inviting third parties to submit their observations on these commitments within one month from the date of publication of the first Notice (9).

(17)   

On 12 and 13 December 2018, NBCUniversal, Sony Pictures, Warner Bros. and Sky offered commitments to meet the Commission's concerns expressed in the SO and the SSO.

(18)   

On 21 December 2018, the Commission published a second notice, summarising the case and the commitments offered by NBCUniversal, Sony Pictures, Warner Bros. and Sky and inviting third parties to submit their observations on these commitments within one month after the date of publication of that second notice (10).

(19)   

The Commission received observations from 10 respondents on the initial commitments offered by Disney and the commitments offered by NBCUniversal, Sony Pictures, Warner Bros. and Sky.

(20)   

On 5 February 2019, Disney further clarified certain aspects of its commitments.

(21)   

The Draft Decision concludes that in the light of Disney's revised commitments and the commitments offered by NBCUniversal, Sony Pictures, Warner Bros. and Sky, there are no longer grounds for action against the Studios and Sky, and, without prejudice to Article 9(2) of Regulation (EC) No 1/2003, the proceedings against the Studios and Sky should therefore be brought to an end.

Overall, I consider that the effective exercise of procedural rights has been respected.

of 7 March 2019

relating to a proceeding under Article 101 of the Treaty on the Functioning of the European Union and Article 53 of the EEA Agreement

On 7 March 2019, the Commission adopted a decision relating to a proceeding under Article 101 of the Treaty on the Functioning of the European Union and Article 53 of the EEA Agreement. In accordance with the provisions of Article 30 of Council Regulation (EC) No 1/2003 (1), the Commission herewith publishes the names of the parties and the main content of the decision, having regard to the legitimate interest of undertakings in the protection of their business secrets.

Introduction

1)

The Decision makes legally binding the commitments offered by Universal Studios International B.V., Universal Studios Limited and Comcast Corporation (together ‘NBCUniversal’), CPT Holdings Inc., Colgems Productions Limited and Sony Corporation (together ‘Sony Pictures’), Warner Bros. International Television Distribution Inc. and Warner Media LLC (together ‘Warner Bros.’), The Walt Disney Company, The Walt Disney Company Limited (together ‘Disney’) and Sky UK Limited and Sky Limited (together ‘Sky’) under Article 9 of Council Regulation (EC) No 1/2003 (‘Regulation 1/2003’) in a proceeding under Article 101 of the Treaty on the Functioning of the European Union (‘the Treaty’) and Article 53 of the EEA Agreement.

This Decision concerns the film licensing agreements that NBCUniversal, Sony Pictures, Warner Bros. and Disney have each entered into with Sky. NBCUniversal, Sony Pictures, Warner Bros. and Disney are hereinafter referred to as ‘the Studios’.

Procedure

On 13 January 2014, the Commission initiated proceedings pursuant to Article 2(1) of Commission Regulation (EC) No 773/2004 against, inter alia, Paramount Pictures International Limited (formerly Viacom Global (Netherlands) B.V.), Viacom Inc. (together ‘Paramount Pictures’), Universal Studios International B.V., CPT Holdings, Inc., Warner Bros. International Television Distribution Inc., British Sky Broadcasting Limited (to date ‘Sky UK Limited’) and British Sky Broadcasting Group Plc. (to date ‘Sky Limited’).

On 23 July 2015, the Commission initiated proceedings pursuant to Article 2(1) of Commission Regulation (EC) No 773/2004 against, inter alia, Comcast Corporation, Colgems Productions Limited, Sony Corporation, The Walt Disney Company, The Walt Disney Company Limited and Time Warner, Inc.

On the same date, the Commission adopted a Statement of Objections (‘SO’) addressed to the Studios, Sky, Twentieth Century Fox Telecommunications International Inc. (together with Twenty-First Century Fox Inc., ‘Fox’) and Paramount Pictures. The SO set out the Commission’s competition concerns in relation to certain clauses contained in certain film licensing agreements covering the United Kingdom and Ireland that the Studios, Fox and Paramount Pictures each entered into with Sky. The SO constitutes a preliminary assessment for the purposes of Article 9(1) of Regulation 1/2003.

From 18 to 20 January 2016, an Oral Hearing took place, during which the Studios, Fox, Paramount Pictures and Sky developed their arguments.

On 26 July 2016, the Commission adopted a decision, pursuant to Article 9 of Regulation No 1/2003, rendering binding commitments offered by Paramount Pictures.

8)

On 12 January 2018, following changes to NBCUniversal’s corporate structure, the Commission initiated proceedings against Universal Studios Limited and adopted a Supplementary Statement of Objections (‘SSO’).

9)

On the same date, the Commission addressed a Letter of Facts to each of the Studios, Fox and Sky informing them about certain internal documents that corroborate the preliminary conclusions reached in the SO and the SSO.

10)

On 25 October 2018, Disney offered commitments pursuant to Article 9 of Regulation 1/2003 to meet the Commission’s competition concerns expressed in the SO.

On 12 and 13 December 2018, NBCUniversal, Sony, Warner Bros. and Sky, each offered commitments to meet the Commission’s competition concerns expressed in the SO and the SSO.

On 9 November and 21 December 2018, the Commission published a notice in the Official Journal of the European Union pursuant to Article 27(4) of Regulation 1/2003 summarising the case and the commitments offered by Disney, NBCUniversal, Sony Pictures, Warner Bros. and Sky, and inviting interested third parties to submit their observations on those commitments.

13)

On 5 February 2019, Disney clarified certain aspects of its commitments (‘Disney’s revised commitments’) in light of the commitments offered by NBCUniversal, Sony Pictures, Warner Bros. and Sky.

14)

The Commission received observations from ten interested parties on the commitments offered by the Studios and Sky.

15)

On 21 February 2019, the Commission consulted the Advisory Committee on Restrictive Practices and Dominant Positions.

16)

On 26 February 2019, the Hearing Officer issued his final report.

The Commission’s competition concerns

17)

Each of the Studios, Fox and Paramount Pictures has entered into licensing agreements with Sky, whereby the Studios, Fox and Paramount Pictures grant Sky exclusive pay-TV and subscription video-on-demand (‘SVOD’) rights with regard to certain films in the United Kingdom and Ireland.

18)

In addition to granting Sky an exclusive right to exhibit the licensed content to subscribers in the United Kingdom and Ireland, each agreement contains clauses that prohibit or limit Sky from making available via internet and/or satellite transmission its retail pay-TV services in response to unsolicited requests from consumers located in European Economic Area (‘EEA’) but outside the United Kingdom and Ireland.

19)

Moreover, certain agreements contain clauses that require the relevant studio to prohibit or limit pay-TV broadcasters located in the EEA but outside the United Kingdom and Ireland from responding to unsolicited requests from consumers residing or located in the United Kingdom and Ireland.

These clauses are hereinafter referred to as the ‘Contested Clauses’.

21)

In the SO and the SSO, the Commission reached the preliminary conclusion that the Contested Clauses are liable to impair competition and have an anticompetitive object because they are designed to prohibit or limit cross-border passive sales of retail pay-TV services and grant absolute territorial exclusivity in relation to the content of the Studios, Fox and Paramount Pictures.

In the SO and the SSO, the Commission also reached the preliminary conclusion that there are no circumstances falling within the economic and legal context of the Contested Clauses, including the nature of the services affected and the conditions of the functioning and structure of the markets in question, that would justify the finding that the clauses are not liable to impair competition and therefore do not have an anticompetitive object.

In the SO and the SSO, the Commission examined arguments put forward by each of the Studios, Fox, Paramount Pictures and Sky, claiming, inter alia, that the Contested Clauses: (i) bring about cost and qualitative efficiencies; (ii) ensure that consumers can enjoy a culturally targeted, local language product, with greater choice and variety of content; (iii) maintain the incentives of the Studios, Fox, Paramount Pictures and pay-TV broadcasters, such as Sky, and distributors to invest in local content; and (iv) do not eliminate a substantial part of competition between pay-TV broadcasters in the EEA. The Commission reached the preliminary conclusion that the Contested Clauses do not meet any of the cumulative conditions for exemption under Article 101(3) of the Treaty and Article 53(3) of the EEA Agreement.

The Commitments

24)

The main aspects of the commitments offered by NBCUniversal, Sony Pictures, Warner Bros. and the revised commitments offered by Disney are as follows.

25)

First, the Studios will not enter into, renew or extend a pay-TV output license agreement that, with respect to any territory in the EEA, (re)introduces any:

a)

clauses that prevent or limit pay-TV broadcasters located in the EEA from responding to unsolicited requests from consumers residing and located in the EEA but outside of the licensed territory of such pay-TV broadcasters (Broadcaster Obligation); and

b)

clauses that require the Studios to prohibit or limit other pay-TV broadcasters located in the EEA but outside a given pay-TV broadcaster’s licensed territory from responding to unsolicited requests from consumers residing and located in that pay-TV broadcaster’s licensed territory (Studio Obligation).

26)

Second the Studios will not:

a)

seek to enforce or initiate proceedings before a court or tribunal for the violation of a Broadcaster Obligation and/or Studio Obligation, as applicable, in an existing pay-TV output license agreement; and

b)

honour any Broadcaster Obligation and/or Studio Obligation, as applicable, to which it is subject pursuant to any existing pay-TV output license agreement.

27)

The main aspects of the commitments offered by Sky are as follows.

28)

First, Sky will not enter into, renew or extend a pay-TV output license agreement with the Studios, Fox or Paramount Pictures that, with respect to any territory in the EEA, (re)introduces any:

a)

clauses that prevent or limit Sky from responding to unsolicited requests from consumers residing and located in the EEA but outside of Sky’s licensed territory (Broadcaster Obligation); and

b)

clauses that require the Studios, Fox or Paramount Pictures to prohibit or limit other pay-TV broadcasters located in the EEA but outside a given pay-TV broadcaster’s licensed territory from responding to unsolicited requests from consumers residing and located in that pay-TV broadcaster’s licensed territory (Studio Obligation).

29)

Second, Sky will not:

a)

seek to enforce or initiate proceedings before a court or tribunal for the violation of Studio Obligation in an existing pay-TV output license agreement; and

b)

honour any Broadcaster Obligation, to which it is subject pursuant to any existing pay-TV output license agreement.

30)

The commitments offered by the Studios and Sky cover both linear pay-TV services and, to the extent included in the licence(s) with a broadcaster, companion SVOD services.

31)

The commitments cover current and future subsidiaries of the committing parties.

32)

The commitments contain also clauses on non-circumvention, review and the monitoring trustee.

33)

The commitments are expressly without prejudice to rights conferred on the Studios under Regulation (EU) 2017/1128 (‘Portability Regulation’) or under copyright law. Neither do the commitments affect the rights of the Studios or a pay-TV broadcaster to decide unilaterally to employ geo-filtering technology.

34)

The commitments will be valid for five years.

Conclusion

35)

The commitments adequately address the concerns expressed in the SO and the SSO.

36)

First, the commitments will apply to all retail pay-TV services and lead to the removal of all clauses in any new pay-TV output license agreement, extension or renewal between the Studios or their future subsidiaries and pay-TV broadcasters located in the EEA that prohibit or limit pay-TV broadcasters from making their retail pay-TV services available in response to unsolicited requests from consumers residing and located in the EEA but outside the United Kingdom and Ireland.

37)

Second, the commitments will lead to the removal of all clauses in any new pay-TV output license agreement, extension or renewal between the Studios or their future subsidiaries and pay-TV broadcasters located in the EEA that require the Studios or their future subsidiaries to prohibit or limit other pay-TV broadcasters located in the EEA but outside a given pay-TV broadcaster’s licensed territory from making their retail pay-TV services available in response to unsolicited requests from consumers residing and located in that pay-TV broadcaster’s licensed territory.

38)

Third, the commitments will lead to the Studios or their future subsidiaries not seeking to enforce, or honour, similar clauses in existing pay-TV output license agreements in force with pay-TV broadcasters located in the EEA.

39)

Fourth, the commitments will lead to the removal of all clauses in any new pay-TV output license agreement, extension or renewal between Sky and the Studios, Fox or Paramount Pictures that prohibit or limit Sky from making its retail pay-TV services available in response to unsolicited requests from consumers residing and located in the EEA but outside the licensed territory of Sky.

40)

Fifth, the commitments will lead to the removal of all clauses in any new pay-TV output license agreement, extension or renewal between Sky and the Studios, Fox or Paramount Pictures that require Studios, Fox or Paramount Pictures to prohibit or limit other pay-TV broadcasters located in the EEA but outside Sky’s licensed territory from making their retail pay-TV services available in response to unsolicited requests from consumers residing and located in Sky’s licensed territory.

41)

Sixth, the commitments will lead to Sky not seeking to enforce, or honour, similar clauses in existing pay-TV output license agreements in force with the Studios, Fox or Paramount Pictures.

42)

The Decision makes the commitments offered by the Studios and Sky legally binding. The non-confidential version of the Decision will be made available on the website of the Directorate General for Competition.

43)

In the light of the commitments, the Commission considers that there are no longer grounds for action against the Studios and Sky, without prejudice to Article 9(2) of Regulation 1/2003, the proceedings against the Studios and Sky should therefore be brought to an end.

Prior notification of a concentration

(Case M.9293 — Iconex/Hansol Denmark/R+S Group)

1.   

On 1 April 2019, the Commission received notification of a proposed concentration pursuant to Article 4 and following a referral pursuant to Article 4(5) of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Iconex LLC (‘Iconex’, USA),

Hansol Denmark ApS and all subsidiaries, including Schades A/S, (‘Hansol Denmark’, Denmark), controlled by Hansol Paper Co. Ltd (‘Hansol Paper’, South Korea),

R+S Group GmbH (‘R+S Group’, Germany), controlled by Hansol Paper Co. Ltd (‘Hansol Paper’, South Korea).

Iconex acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of Hansol Denmark and R+S Group (together the ‘Target Companies’) by way of purchase of shares.

The concentration has been referred to the Commission by the Bundeskartellamt pursuant to Article 22(3) of the Merger Regulation. The referral was subsequently joined by the French Republic.

The business activities of the undertakings concerned are:

—   for Iconex: conversion and supply of lightweight thermal paper (‘LWTP’) for various end-products including receipt paper rolls, printer consumables and self-adhesive labels. Iconex supplies converted rolls and converted labels to a wide variety of industries,

—   for Hansol Denmark: conversion and supply of LWTP for various end-products including receipt paper rolls, and self-adhesive labels. Hansol Denmark supplies converted rolls and converted labels to a wide variety of industries,

—   for R+S Group: conversion and supply of LWTP for receipt and ticket applications, and self-adhesive labels. R+S Group supplies converted rolls and converted labels to a wide variety of industries.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
