Non-opposition to a notified concentration

On 21 December 2018, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004 (1). The publication of the list of residence permits referred to in Article 2(16) of Regulation (EU) 2016/399 of the European Parliament and of the Council of 9 March 2016 on a Union Code on the rules governing the movement of persons across borders (Schengen Borders Code) (2) is based on the information communicated by the Member States to the Commission in conformity with Article 39 of the Schengen Borders Code.
In addition to publication in the OJ, a monthly update is available on the website of the Directorate-General for Migration and Home Affairs.

On 18 January 2019, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Swiss Life Holding AG (‘Swiss Life’, Switzerland), |
— |
Montagu Private Equity LLP (‘Montagu’, United Kingdom), |
— |
A real estate property (the ‘Real estate property’, Germany). |
Swiss Life and Montagu acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the whole of the real estate property.
The concentration is accomplished by way of purchase of assets.
2.
The business activities of the undertakings concerned are:— for Swiss Life: an insurance company,
— for Montagu: a private equity firm,
— for the Real estate property: an already leased office building in Munich (Germany).
3.
On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.
4.
The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:

On 17 January 2019, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

ANTA Sports Products (‘ANTA’, Hong Kong), |
— |
FountainVest China Capital Partners GP3 (‘FountainVest’, Cayman Islands), |
— |
Amer Sports (‘Amer Sports’, Finland). |
ANTA and FountainVest acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of Amer Sports.
The concentration is accomplished by way of purchase of shares through a public tender offer launched on 20 December 2018.
2.
The business activities of the undertakings concerned are:— for ANTA: development, manufacturing and marketing of ANTA sportswear series for the mass market in China of professional sporting products including footwear, apparel and accessories,
— for FountainVest: private equity firm with a focus on investing in industry leading enterprises with significant growth potential. FountainVest has investments in consumer retail, media & technology, healthcare and industrials businesses,
— for Amer Sports: development, manufacturing and marketing of sporting goods company with internationally recognised brands including Salomon, Wilson, Atomic, Arc’teryx, Mavic, Suunto and Precor.
3.
On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

Swiss Life REIM, belonging to the Swiss Life Group (‘Swiss Life’, Switzerland), |

the Target Asset (‘JV’, France). |
CDC and Swiss Life acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the whole of JV.
The concentration is accomplished by way of purchase of assets.

The business activities of the undertakings concerned are:— for CDC: a public institution carrying out activities of general interest, consisting in particular of the management of private funds to which the government wishes to afford particular protection and activities open to competition in the environmental, real-estate, investment and capital investment, and services sectors,
— for Swiss Life: a group offering private customers and businesses global advice and products in the pensions and life assurance sectors through its own network of agents, brokers and banks,
— for JV: immovable property to be developed for use as a healthcare establishment, located in Bracon (department of Jura), covered by an off-plan lease.
