Non-opposition to a notified concentration

(Case M.8609 — Triton/Unihold/Unica Group)

On 19 September 2017, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004 (1). The full text of the decision is available only in English and will be made public after it is cleared of any business secrets it may contain. It will be available:

COMMUNICATION FROM THE COMMISSION

on the body authorised to issue certificates of authenticity under Implementing Regulation (EU) No 481/2012

Council Regulation (EC) No 617/2009 of 13 July 2009 opening an autonomous tariff quota for imports of high-quality beef (1) was amended by Regulation (EU) No 464/2012 of the European Parliament and of the Council of 22 May 2012 (2).

Commission Regulation (EC) No 620/2009 of 13 July 2009 providing for the administration of an import tariff quota for high-quality beef (3) was repealed and replaced by Commission Implementing Regulation (EU) No 481/2012 of 7 June 2012 providing for the administration of an import tariff quota for high-quality beef (4).

Under Article 3 of Implementing Regulation (EU) No 481/2012, the release into free circulation of goods imported under the quota bearing the order number 09.2202, which replaced the quota bearing order number 09.4449 pursuant to Regulation (EC) No 620/2009, is subject to the presentation of a certificate of authenticity.

New national side of euro coins intended for circulation

Euro coins intended for circulation have legal tender status throughout the euro area. For the purpose of informing the public and all parties who handle the coins, the Commission publishes a description of the designs of all new coins (1). In accordance with the Council conclusions of 10 February 2009 (2), euro-area Member States and countries that have concluded a monetary agreement with the European Union providing for the issuing of euro coins are allowed to issue commemorative euro coins intended for circulation, provided that certain conditions are met, particularly that only the 2-euro denomination is used. These coins have the same technical characteristics as other 2-euro coins, but their national face features a commemorative design that is highly symbolic in national or European terms.

Issuing country : Luxembourg

Subject of commemoration : The 200th anniversary of the Grand Duke Guillaume III

Description of the design : The design shows on the left hand the effigy of His Royal Highness, the Grand-Duke Henri, looking to the left and on the right hand the effigy of HRH the Grand-Duke Guillaume III. At the top of the design is depicted the year-date ‘2017’. At the bottom appears the text ‘GRANDS-DUCS DE LUXEMBOURG’. The name ‘GUILLAUME III’ followed by the indication of the year of birth ‘*1817’ is depicted above the respective effigy.

The coin’s outer ring depicts the 12 stars of the European flag.

Euro coins intended for circulation have legal tender status throughout the euro area. For the purpose of informing the public and all parties who handle the coins, the Commission publishes a description of the designs of all new coins (1). In accordance with the Council conclusions of 10 February 2009 (2), euro-area Member States and countries that have concluded a monetary agreement with the European Union providing for the issuance of euro coins are authorised to issue commemorative euro coins intended for circulation, provided that certain conditions are met, one of these being that only the 2-euro denomination is used. These coins have the same technical characteristics as other 2-euro coins, but their national side features a commemorative design that is highly symbolic in national or European terms.

Issuing country : The Principality of Andorra

Subject of commemoration : 100 years of the anthem of Andorra

Description of the design : The design depicts a partial reproduction of the anthem of Andorra published in 1914. The central part of the design reproduces the first notes of the anthem flanked by an ornamentation of floral style and the inscription ‘Himne Andorrà’ (Andorran anthem).

The upper part of the design shows the year of issuance ‘2017’ and the inscription ‘100 anys de l’himne d’Andorra’ (100 years of the anthem of Andorra).

This coin commemorates the 100th anniversary of its admission as the national anthem of Andorra by agreement of the Consell General (Andorran Parliament) of 2 April 1917.

The coin’s outer ring depicts the 12 stars of the European flag.

On 20 September 2017, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Warburg Pincus LLC (United States),

Tata Motors Limited (India),

Tata Technologies Limited (India), controlled by Tata Motors Limited.

Warburg Pincus and Tata Motors Limited acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of Tata Technologies Limited.

The concentration is accomplished by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

—   for Warburg Pincus LLC: a global private equity firm active (through its portfolio companies) in a variety of sectors, including energy, financial services, healthcare and consumer, industrial and business services, and technology, media and telecommunications,

—   for Tata Motors Limited: an automobile company with worldwide operations,

—   for Tata Technologies Limited: supply of outsourced engineering and product development IT services to the global manufacturing industry.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:

Jacobs Engineering Group Inc. (‘Jacobs’, US),

CH2M HILL Companies Ltd (‘CH2M’, US).

Jacobs acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of CH2M.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:

—   for Jacobs: provision of technical, professional, and construction services to a large number of industrial, commercial and governmental clients;

—   for CH2M: provision of professional consulting services across a full spectrum of technical consulting, engineering, construction management and operations and maintenance projects.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.
